The Company invites Applications for the subscription of up to 657,500,000 Common Shares (“the Subscription Shares”) in DCM pursuant to this Invitation. The Company intends to make an application to the Jamaica Stock Exchange (“JSE”) to have the Common Shares of the Company, which includes the Subscription Shares, subsequently listed on the Main Market of the JSE.
Up to 263,000,000 Shares in the Invitation (“the Reserved Shares”) are initially reserved for priority application from, and purchase by, the Reserved Shares Applicants (i.e. Strategic Investors).
If any of the Reserved Shares in any category are not subscribed, they will become available for subscription by the General Public.

This Invitation will open at 9:00 a.m. on November 27, 2025 (“the Opening Date”) and will close at 4:30 p.m. on December 18, 2025 (“the Closing Date”) subject to the right of the Company to: (a) close the Invitation at any time after it opens, without notice, if Applications have been received for the full amount of the Subscription Shares offered; (b) extend the Closing Date for any reason, provided that it does not extend beyond the expiration of forty (40) days after the publication of this Prospectus for the purposes of section 48(4) of the Companies Act of Jamaica, 2004 (as amended); (c) or offer Common Shares greater in number than originally offered.
In the case of a closing before the Closing Date or an extension of the Closing Date, notice of the new Closing Date will be posted on the website of the JSE (www.jamstockex.com). Applications submitted prior to the Opening Date will be received, but not processed until the Opening Date. Applications should be made on VM Wealth IPO Edge Platform – https://wealthipo.vmbs.com – (see Appendix 1 for details). Each Application must be accompanied/supported by payment for the full amount payable on purchase in the required currency.
It is the intention of the Company to apply to the JSE for the Common Shares inclusive of the Subscription Shares to be admitted to the Main Market. Note that this is not a guarantee that the Common Shares will be listed as this is only a statement of intent. The application to the JSE is dependent on (i) at least Five Hundred Million Jamaican Dollars (J$500,000,000.00) being raised pursuant to the Invitation and (ii) the Company meeting the criteria for admission. If, however, this minimum amount is not raised by the Closing Date the Company will not make an application for the Shares to be admitted to the Main Market of the JSE and all payments will be returned (or refunded in full) to the Applicants making them, without Interest.
